David is one of the founders of Mangioni Biggs + Co. With over 25 years' experience in both private practice and as in-house counsel, David specialises in transactional and general counsel commercial and corporate work for companies across a broad range of industries including broadcasting, advertising and marketing, building and construction, technology, professional services, sporting clubs and meat processing.

David has extensive experience in preparing and negotiating all manner of commercial contracts (including shareholder, joint venture and partnership agreements, technology and IP agreements, software licensing agreements, and supply and distribution agreements) and all manner of corporate documents (including private and public company constitutions, trust deeds for family trusts, unit trusts and discretionary trusts, and financing and security documents). He also has specialist expertise in providing advice on Corporations Act, Personal Property Securities Act, Australian Consumer Law and Privacy Act matters.

David’s M&A experience includes private-treaty acquisitions and disposals (both shares and assets), including buy and sell side due diligence and data room management, and preparing and negotiating related transaction documents.

David is regularly engaged in relation to high-net-worth family law property settlements to advise and assist with the drafting of the commercial law aspects of Family Court property settlement orders and to prepare commercial and corporate legal documentation to facilitate the implementation of settlement orders.

David also has experience in corporate advisory and dispute work.

David enjoys time with family, golf, skiing, music and supporting his beloved Parramatta Eels.

  • Private-treaty mergers and acquisitions, corporate restructures, and insolvency transactions.
  • Commercial contracts, information technology, employment law and intellectual property.

Significant commercial and corporate transactions that David has led include:

  • Acquisition of Austech Wire and Cable Pty Ltd by Tyree Group Holdings
  • Sale of the Tabro Meat Plant to Kilcoy Global Foods.
  • Acquisition of the businesses of Telstra Broadcast Services and Chief Entertainment by Gravity Media.
  • Sale of AAM to Woolpert LLC.
  • Preparation and negotiation of the CommBank Stadium long-term venue hire contract, and contracts for the licence, development and construction of a community facility and centre of excellence, for the Parramatta National Rugby League Club.
  • Sale and acquisition transactions for Hudson Global Resources.
  • Corporate restructure of the Australian operations of Ancon Building Products Group (now Leviat).
  • Acquisition of Connolly Key Joint by Leviat.
