Veronica has over 20 years’ of diverse legal experience, in Australia and internationally, working in private practice, and in-house as General Counsel for a public dual-listed company. Her main practice areas are in commercial and corporate law.
Veronica is a corporate and commercial lawyer with extensive experience in public and private equity fundraising, including initial public offerings.
She has a proven track record of advising clients on business acquisitions and sales, and on a broad range of other corporate and commercial transactions and contracts.

Experience
Veronica’s experience has included:
- Acting as General Counsel of a start-up company in the digital health care sector, and leading the project team in the company’s dual-listing activities on TSX-V (Toronto) and ASX (Australia), which included a scheme of arrangement in the Federal Court of Australia.
- Advising on a variety of commercial contracts, including SaaS agreements, software licensing and development agreements, escrow agreements, content supply agreements, consultancy services agreements, procurement agreements, distribution agreements, government tenders, joint venture agreements, partnership agreements, shareholder agreements, sale of business agreements, and construction agreements.
- Advising Australian and foreign companies on regulatory requirements under the Corporations Act, the Foreign Acquisitions & Takeovers Act, the Competition & Consumer Act, and the ASX Listing Rules.
- Advising on mergers, acquisitions, restructures and divestments, involving shares, assets and joint venture interests, through private treaty and public takeover transactions.
- Conducting comprehensive due diligence, including design, implementation, analysis and consequence management, and including using due diligence questionnaires, on-site interviews, and manual and electronic data rooms.
- Advising on initial public offerings and ASX listings, rights issues, private placements, private equity investments, underwritings, incentive plans, and share purchase plans.
- Attending to all manner of company secretarial functions, including drafting notices of meeting, explanatory memoranda, minutes, and ASIC forms, for private, public and publicly listed companies, and drafting ASX company announcements.
